Analyze the text and identify "Red Flags" — highly aggressive terms disproportionately favoring the counterparty.

Look for:

• Liquidation Preferences (participating vs. non-participating, multiple > 1x)
• Anti-Dilution (full ratchet vs. broad-based weighted average)
• Drag-along rights thresholds
• Founder vesting acceleration (Single vs. Double trigger)
• Restrictive covenants (non-compete scope)
• Representations & Warranties (knowledge qualifiers, materiality scrapes)

For each red flag:

1. The Issue: What does the clause say?
2. The Risk: Why is this dangerous?
3. Market Standard: What is normal practice?
4. Pushback Strategy: How to negotiate?
